Saybrana provides the following technology consultancy services:
- Digital Twin Development: BIM modeling, digital consulting, and implementation
- Photogrammetry Services: 360° reality capture and visualization solutions
- Lidar & 3D Scanning: High-precision scanning and point cloud processing
- Software Development: Custom software solutions and applications
- Technology Consulting: Strategic digital transformation advisory
- Training and Support: Technical training and ongoing support services
Service specifications, deliverables, and timelines will be detailed in separate project agreements or statements of work.
3. User Responsibilities
As a user of our Services, you agree to:
- Provide accurate, current, and complete information when required
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Not use our Services for any illegal or unauthorized purpose
- Not interfere with or disrupt the operation of our Services
- Not attempt to gain unauthorized access to our systems
- Respect intellectual property rights of Saybrana and third parties

4. Payment Terms
Pricing
Service pricing will be provided in project proposals or statements of work. Prices are subject to change without notice, but changes will not affect existing agreements.
Payment Schedule
- Consultation Fees: Payment required prior to service delivery
- Project Services: Typically 50% upfront, 50% upon completion
- Large Projects: Milestone-based payments as specified in project agreement
- Ongoing Services: Monthly or quarterly billing as agreed

Late Payments
Late payments may incur interest at 1.5% per month or the maximum legal rate, whichever is lower. Services may be suspended for accounts with overdue payments.
5. Intellectual Property Rights
Company Intellectual Property
Saybrana retains all rights to our proprietary technology, methodologies, processes, and intellectual property, including but not limited to:
- Digital Twin Assessment Process™ (DTAP)
- Software code and algorithms
- Documentation and training materials
- Business methods and processes
- Trademarks and brand assets
Client Intellectual Property
Clients retain ownership of their pre-existing intellectual property and any custom deliverables created specifically for them, subject to full payment.
Licensing
We grant clients a non-exclusive, non-transferable license to use deliverables for their intended business purposes. Third-party software licenses are subject to their respective terms.
6. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information exchanged during our business relationship. This includes:
- Business strategies and financial information
- Technical specifications and processes
- Client data and project details
- Trade secrets and proprietary information
Confidentiality obligations survive the termination of our business relationship for a period of five (5) years.
7. Service Availability and Performance
Service Level Agreement
- Consultation Response: Within 24-48 business hours
- Project Delivery: As specified in project agreements
- Support Response: Within 4 business hours for critical issues
- System Uptime: 99% for online services (where applicable)
Maintenance and Downtime
We may perform scheduled maintenance that could temporarily affect service availability. We will provide reasonable notice for planned maintenance.
Force Majeure
We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
8. Limitation of Liability
To the fullest extent permitted by law, Saybrana shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Lost profits or business opportunities
- Data loss or corruption
- Business interruption
- Damages exceeding the total fees paid for the specific service
Our total liability for any claim related to our Services shall not exceed the amount paid by the client for the specific service giving rise to the claim.
9. Warranty and Disclaimers
Service Warranty
We warrant that our services will be performed with professional care and in accordance with industry standards. We will correct any deficiencies in our workmanship.
Disclaimers
Except as expressly stated in these Terms, our Services are provided "as is" without warranties of any kind, whether express or implied.
- No warranty of fitness for a particular purpose
- No warranty of merchantability
- No warranty regarding third-party services
- No warranty of uninterrupted or error-free operation
10. Termination
Termination by Client
Clients may terminate service agreements with written notice. Termination fees may apply based on work completed and commitments made.
Termination by Saybrana
We may terminate services for:
- Non-payment of fees
- Breach of these Terms
- Illegal or unethical use of services
- Client insolvency or bankruptcy
Effect of Termination
Upon termination, clients must pay all outstanding fees. We will provide deliverables for work completed and paid for. Confidentiality obligations survive termination.
11. Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of Qatar, without regard to its conflict of law principles.
Dispute Resolution Process
- Negotiation: Parties will first attempt to resolve disputes through good faith negotiations
- Mediation: If negotiation fails, disputes will be submitted to mediation in Qatar
- Arbitration: Unresolved disputes will be resolved through binding arbitration
- Court: Either party may seek court relief for injunctive or equitable relief
Arbitration Terms
- Arbitration conducted in English
- Single arbitrator appointed by mutual agreement
- Arbitration award final and binding
- Costs shared equally unless otherwise determined
12. Indemnification
Clients agree to indemnify and hold Saybrana harmless from any claims, damages, or expenses arising from:
- Client's breach of these Terms
- Client's negligence or willful misconduct
- Violation of third-party rights by client
- Client's use of our Services
We will provide reasonable assistance in defense of such claims at the client's expense.
13. General Provisions
Entire Agreement
These Terms, along with any project agreements, constitute the entire agreement between the parties and supersede all prior discussions and understandings.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of such provision or our right to enforce it in the future.
Assignment
Clients may not assign their rights or obligations under these Terms without our prior written consent. We may assign these Terms at our discretion.
Notices
All notices shall be in writing and delivered via email, registered mail, or personal delivery to the addresses specified in these Terms.
